Terms and Conditions - “Borderlands 3” Prize Draw (“Terms”)

This pre-order promotion runs in partnership with Micromania to promote the release of the game “Borderlands 3”. Open only to legal residents of France (metropolitan France only) who are 18 or older. This Promotion is governed exclusively by the laws of France. A purchase is necessary to enter the Promotion.

1. General Terms

By participating in the Borderlands Prize Draw (“Promotion”), you accept these Terms. Please read these Terms carefully before participating. If you do not agree to the Terms, you may not participate in the Promotion.

These Terms govern the relationship between you (“you” or the “Participant”) and 2K Games, Inc. (“2K”), a wholly owned subsidiary of Take-Two Interactive Software, Inc., located at 10 Hamilton Landing, Novato, CA 94949, USA (“Sponsor”). This Promotion is organized in partnership with MICROMANIA GROUP, société anonyme with a capital of 112, 642, 820 €, registered with the Registry of Grasse under the number B 480 705 946 and whose registered office is located 955 route des Lucioles, 06901 SOPHIA ANTIPOLIS, FRANCE (“Co-Sponsor”).

The Promotion begins on April 3, 2019 at 00:00:01 (CET) and ends on October 17, 2019 at 23:59:59 (inclusive) (“Promotion Period”).

The Pre-Order Period as referred to in Section 3 below begins on April 3, 2019 at 00:00:01 and ends on September 12, 2019 at 23:59:59 (inclusive).

2. Right to participate

The Promotion is open for residents of France (metropolitan France only) aged 18 years or above. The Sponsor may require winners to certify their eligibility to participate in the Promotion.

Employees of the Sponsor and Co-Sponsor or those of any of their affiliates, as well as the immediate family of such employees, and anyone otherwise connected with the operation or fulfillment of the Promotion, are not eligible to enter the Promotion.

3. Instructions for participation

The Participants who pre-order the game “Borderlands 3” (“BL3”) in the stores of the Co-Sponsor https://www.micromania.fr/liste-magasins-micromania.html (hereinafter the “Participating Stores” or the “Participating Store” when referred to with singular), or via the Co-Sponsor’s official website located at: www.micromania.fr, during the Pre-Order Period will be provided with a card with a unique code (“Micromania Code”) when they collect their copy of BL3 from any Co-Sponsor Participating Store.

The Micromania Code will unlock a certain amount of points within a range of 150 to 200 points that need to be redeemed in the BL3 VIP program’s website . Each Participant will get some amount of points. The points allow, for instance, to download wallpapers or in-game digital items for Borderlands games.

In order to redeem the Micromania Code, the Participant must have a BL3 VIP account (free) and a SHiFT account (free). To that effect, any Participant who does not already have a BL3 VIP account and a SHiFT account must register on the website https://borderlands.com/en-US/vip/ to create: (i) a SHiFT account; and (ii) a BL3 VIP account. Then the Participant will have to follow the instructions in order to redeem the Micromania Code and unlock the points earned.

The Participant must redeem the Micromania Code by no later than October 17th, 2019 at 23:59:59 (CET) (“Redemption End Date”) in order to be eligible for the Draw. Participants who redeem the Micromania Code after the Redemption End Date will still unlock the allocation of points attributed to their Micromania Code, but will not be eligible for the Draw. In any case, the validity date of the Micromania Code is October 17, 2019 at 23:59:59 (CET).

Any illegible or fraudulent entries will be rejected. If any Participant enters or attempts to enter the Promotion in violation of these Terms, or in a manner that is otherwise unfair to other Participants, the Participant may be rejected from the Promotion at the Sponsor's sole discretion.

4. Selection of the winners and allocation of the Prize

On or around October 31st, 2019, Sponsor will randomly select (“Draw”) 50 (fifty) Participants who successfully redeemed their Micromania Code by the Redemption End Date (“Winners”) and will offer to each of them a custom BL3 Bandit Mask (retail value of One Hundred Euros (€100)) (“Prize”).

Winners will be notified by Sponsor within ten (10) working days from the Draw via the email address linked to their BL3 VIP account. Winners will be required to respond to Sponsor’s email within ten (10) calendar days of such notification with all of the information requested in Sponsor’s notification in order to customize and claim their Prize.

If any Winner does not provide Sponsor with all of the information requested in Sponsor’s notification within ten (10) calendar days of Sponsor’s notification, if any Prize or Prize notification is returned as undeliverable, if any Winner rejects his/her Prize, or in the event of noncompliance with these Terms and requirements, that Winner will forfeit their Prize and an alternate winner may be selected from all remaining eligible entries. No compensation will be given upon Prize forfeiture. Each Winner’s Prize will be delivered by March 31, 2020 to the postal address provided by the Winner via email to Sponsor.

The Prize is personal, non-exchangeable, non-transferable, and non-refundable. No cash alternative is available.

Unless otherwise provided under applicable mandatory rules, the Prize is awarded on an “as is” basis and the Sponsor, nor any of its affiliates, makes any representations or warranties of any nature with respect to the Prize.

The Sponsor reserves the right to replace the Prize (or any part thereof) with an alternative offering of equal or higher value if circumstances beyond the Sponsor’s control make it impossible for the Sponsor to provide the Prize.

5. Liability

To the extent permitted by any applicable mandatory rule, by participating in the Promotion, each Participant agrees to release the Sponsor and the Co-Sponsor and their affiliates from any and all liability arising in any manner out of the Promotion including, without limitation, the selection of the Winners, the administration of the Promotion and the acceptance or the use of the Prize or any component thereof, as well as to indemnify and hold the Sponsor and the Co-Sponsor and their affiliates harmless from and against any claims, damages, liabilities, losses, costs or expenses arising from, or attributable to, any of the Participant’s acts or omissions relating directly or indirectly to the use of the Prize. Except in the event of gross negligence or willful misconduct, the Sponsor, the Co-Sponsor and/or their affiliates’ liability will in any case be limited to the value of the Prize to the extent permitted by the applicable mandatory rules.

6. Disputes and applicable law

In the event of a dispute concerning the Promotion, the Participant is entitled to benefit, free of charge, from an alternate dispute resolution, as provided by the Consumer Code. To that effect, the Participant can contact the Ombudsman of the Fédération du Commerce et de la Distribution by sending a request to FCD, 12 rue Euler 75008, Paris or by email at cdelesalle@fcd.fr.

Failing to reach an agreement through an alternate dispute resolution procedure, any dispute, conflict or controversy arising out of, or in connection with this Promotion, shall be brought before the French courts having jurisdiction in accordance with the rules set by the Civil Procedural Code.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the Participant and Sponsor and Co-Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with the laws of France.

7. Personal data

By participating in the Promotion and ticking the dedicated box on the online form, the Participant understands that any personal data submitted in connection with the Promotion is registered and processed in accordance with the Sponsor’s Privacy Policy, available at https://www.take2games.com/privacy/index.html. The legal basis for the processing of the personal data in connection with the Promotion is the positive consent of the Participant.

The data controller is Take Two Interactive Software Europe Limited, a wholly owned subsidiary of the Sponsor. The data recipients are the data controller and the Sponsor. The personal data will be transferred outside the European Union, to the USA. The Participant’s personal data will be kept while the legal relationship is maintained unless the Participant’s consent is revoked, the Participant submits an objection, or the right of erasure or opposition is exercised, and without prejudice to the conservation of the personal data as long as the legal obligations persist. The Participant has a right to access, correct, have his/her personal data deleted from the data controller’s database, withdraw his/her consent, object to processing, and other rights under applicable law. The Participant can exercise these rights by sending a written request to the data controller, or by emailing privacypolicy@take2games.com. Additional information on the Participant’s rights and Sponsor’s use of personal data is available in the Sponsor’s Privacy Policy. The Participant has also a right to lodge a complaint before the supervisory authority having jurisdiction; i.e., the Commission Nationale de l’Informatique et des Libertés (www.cnil.fr).

8. Conduct

If for any reason the Promotion cannot be executed as planned, including but not limited to any printing, administrative, or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Promotion, or if the Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to cancel, modify or terminate the Promotion, and, if terminated before the original end date, to select the Winners from among all eligible non-suspect entries received as of the date/time of termination.

9. Severability

The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any part of these Terms is held by a French court to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Terms will remain fully in force.

Ce concours de pré-commande se déroule en partenariat avec Micromania pour promouvoir la sortie du jeu « Borderlands 3. » Ouvert uniquement aux résidents légaux en France (France métropolitaine uniquement) âgés de 18 ans et plus. Ce Concours est régi exclusivement par le droit français. Un achat est nécessaire pour participer au Concours.

En participant au tirage du prix Borderlands (le « Concours »), vous acceptez les présentes conditions. Veuillez lire attentivement ces Conditions avant de participer. Si vous n’acceptez pas les Conditions, vous ne pouvez pas participer au Concours.

Les présentes Conditions régissent la relation entre vous (« vous » ou le « Participant ») et 2K Games, Inc. (« 2K »), une filiale en propriété exclusive de Take-Two Interactive Software, Inc. située au 10 Hamilton Landing, Novato, CA 94949, USA (l’« Organisateur »). Ce Concours est organisé en partenariat avec MICROMANIA GROUP, société anonyme au capital de 112 642 820 €, immatriculée au Registre du Commerce de Grasse sous le numéro B 480 705 946 et dont le siège social est situé 955 route des Lucioles, 06901 SOPHIA ANTIPOLIS, France (le « Co-organisateur »).

Le Concours débute le 3 avril 2019 à 00:00:01 (CET) et prend fin le 17 octobre 2019 à 23:59:59 (inclus) (la « Période du Concours »).

La période de pré-commande mentionnée à l’article 3 ci-dessous commence le 3 avril 2019 à 00:00:01 et prend fin le 12 septembre 2019 à 23:59:59 (inclus).

2. Droit de participation

Le Concours est ouverte aux résidents de France (France métropolitaine uniquement) âgés de 18 ans et plus. L’Organisateur peut exiger que les gagnants attestent de leur admissibilité pour participer au Concours.

Les employés de l’Organisateur et du Co-organisateur et ceux de leurs sociétés affiliées, ainsi que les membres de leur famille proche et toute autre personne liée à l’exploitation ou à la réalisation du Concours n’ont pas le droit de participer au Concours.

3. Instructions pour la participation

Les Participants qui précommandent le jeu « Borderlands 3 » (« BL3 ») dans les magasins du Co-organisateur https://www.micromania.fr/liste-magasins-micromania.html (ci-après les « Magasins participants » ou le « Magasin participant » lorsqu’il y est fait référence au singulier), ou via le site officiel du Co-organisateur situé sur : www.micromania.fr pendant la Période de précommande recevront une carte avec un code unique (le « Code Micromania ») lorsqu’ils retirent leur exemplaire du BL3 dans un Magasin participant du Co-organisateur.

Le Code Micromania débloquera un certain nombre de points dans une fourchette de 150 à 200 des points qui doivent être échangés sur le site Web du programme VIP BL3. Chaque Participant recevra un certain nombre de points. Les points permettent par exemple de télécharger des fonds d’écran ou des objets numériques en jeu pour les jeux Borderlands.

Afin d’échanger le Code Micromania, le Participant doit avoir un compte VIP BL3 (gratuit) et un compte SHiFT (gratuit). À cet effet, tout Participant qui ne dispose pas encore d’un compte VIP BL3 et d’un compte SHiFT doit s’inscrire sur le site https://borderlands.com/fr-FR/vip pour créer : (i) un compte SHiFT ; et (ii) un compte VIP BL3. Ensuite, le Participant devra suivre les instructions afin d’échanger le Code Micromania et de débloquer les points gagnés.

Le Participant doit utiliser le Code Micromania au plus tard le 17 octobre 2019 à 23:59:59 (CET) (la « Date limite d’utilisation du Code ») pour pouvoir participer au Tirage au sort. Les participants qui utilisent le Code Micromania après la Date limite d’utilisation du Code bénéficieront toujours des points attribués à leur Code Micromania, mais ils ne pourront pas participer au Tirage au sort. En tout état de cause, la date de validité du Code de Micromania est le 17 octobre 2019 à 23:59:59 (CET).

Toute participation illisible ou frauduleuse sera disqualifiée. Si un Participant s’inscrit ou tente de s’inscrire au Concours en violation des présentes modalités ou d’une manière qui est autrement déloyale à l’égard des autres Participants, le Participant peut être disqualifié du Concours à l’entière discrétion de l’Organisateur.

4. Sélection des lauréats et attribution du Prix

Le 31 octobre 2019 ou à proximité, l’Organisateur tirera au sort (le « Tirage au sort ») 50 (cinquante) Participants qui auront échangé avec succès leur Code Micromania avant la Date limite d’échange du Code (les « Gagnants ») et offrira à chacun d’eux un Masque de Bandit BL3 personnalisé (valeur du détail de cent Euros (€100)) (le « Prix »).

Les gagnants seront avisés par l’Organisateur dans les dix (10) jours ouvrables suivant le Tirage au sort à l’adresse électronique liée à leur compte VIP BL3. Les gagnants devront répondre au courrier électronique de l’Organisateur dans les dix (10) jours civils suivant cet avis en fournissant tous les renseignements demandés dans l’avis de l’Organisateur afin de personnaliser et d’obtenir leur Prix.

Si un gagnant ne fournit pas à l’Organisateur tous les renseignements demandés dans l’avis de l’Organisateur dans les dix (10) jours civils suivant l’avis de l’Organisateur, si un Prix ou un avis de Prix est renvoyé pour impossibilité de livraison, si un gagnant refuse son Prix ou en cas de non-conformité aux présentes modalités et exigences, le gagnant perd son Prix et un autre gagnant peut être choisi parmi toutes les participations admissibles restantes. Aucune compensation ne sera accordée en cas de perte du Prix. Chaque Prix du gagnant sera livré d’ici le 31 mars 2020 à l’adresse postale indiquée par le gagnant par courrier électronique à l’Organisateur.

Le Prix est personnel, non échangeable, non cessible et non remboursable. Aucune alternative en espèces n’est disponible.

Sauf disposition contraire des règles impératives applicables, le Prix est attribué « en l’état » et l’Organisateur, ni aucune de ses sociétés affiliées, n’offre d’engagement ou de garantie de quelque nature que ce soit à l’égard du Prix.

l’Organisateur se réserve le droit de remplacer le Prix (ou une partie du Prix) par une autre offre de valeur égale ou supérieure si des circonstances indépendantes de sa volonté l’empêchent de remettre le Prix.

5. Responsabilité

Dans la mesure permise par toute règle obligatoire applicable, en s’inscrivant au Concours, chaque participant s’engage à tenir quittes l’Organisateur, le Co-organisateur et leurs sociétés affiliées contre toutes poursuites découlant de quelque façon que ce soit du Concours, y compris, sans s’y limiter, la sélection des gagnants, l’administration du Concours et l’acceptation ou l’utilisation du Prix ou d’une partie de celui-ci, et à indemniser l’Organisateur, le Co-organisateur et les membres de leur groupe contre tout préjudice, réclamation, poursuites, perte, coût ou dépense imputables ou liés à des actes ou omissions du Participant liés directement ou indirectement à l’utilisation du Prix. Sauf en cas de négligence grave ou de faute de conduite délibérée, la responsabilité de l’Organisateur, du Co-organisateur et/ou de ses sociétés affiliées sera en tout état de cause limitée à la valeur du Prix dans la mesure permise par les règles obligatoires applicables.

6. Litiges et droit applicable

En cas de litige concernant le Concours, le Participant a le droit de bénéficier, sans frais, d’un mode alternatif de règlement des litiges, tel que prévu par le Code de la consommation. À cet effet, le participant peut s’adresser au médiateur de la Fédération du commerce et de la distribution en adressant une demande à la FCD, 12 rue Euler 75008, Paris ou par courrier électronique à l’adresse cdelesalle@fcd.fr.

A défaut d’accord dans le cadre d’une procédure alternative de règlement des litiges, tout litige, conflit ou controverse imputable ou lié au présent Concours sera porté devant les tribunaux français compétents conformément aux règles fixées par le Code de procédure civile.

Toutes les questions concernant la construction, la validité, l’interprétation et le caractère exécutoire des présentes Conditions, ou les droits et obligations du Participant, de l’Organisateur et du Co-Parrain dans le cadre de ce Concours, sont régis par les lois françaises et doivent être interprétés conformément à celles-ci.

7. Données à caractère personnel

En s’inscrivant au Concours et en cochant la case prévue à cet effet sur le formulaire en ligne, le Participant comprend que toutes les données à caractère personnel soumises dans le cadre du Concours sont enregistrées et traitées conformément à la Politique de confidentialité de l’Organisateur, disponible sur https://www.take2games.com/privacy/fr.html. La base juridique du traitement des données à caractère personnel dans le cadre du Concours est le consentement positif du participant.

Le responsable du traitement des données est Take Two Interactive Software Europe Limited, une filiale en propriété exclusive de l’Organisateur. Les destinataires des données sont le responsable du traitement et l’Organisateur. Les données à caractère personnel seront transférées en dehors de l’Union européenne, vers les États-Unis. Les données à caractère personnel du Participant seront conservées pendant toute la durée de la relation juridique, à moins que le consentement du participant ne soit révoqué, que le participant ne s’y oppose ou que le droit d’effacement ou d’opposition ne soit exercé, et sans préjudice de la conservation des données à caractère personnel tant que les obligations légales persistent. Le participant dispose d’un droit d’accès, de rectification et de suppression de ses données à caractère personnel de la base de données du responsable du traitement, de révocation de son consentement, d’opposition au traitement, entre autres droits prévus par la loi applicable. Le participant peut exercer ces droits en adressant une demande écrite au responsable du traitement, ou en envoyant un courrier électronique à privacypolicy@take2games.com. Des renseignements supplémentaires sur les droits du participant et l’utilisation des données à caractère personnel par l’Organisateur sont disponibles dans la politique de confidentialité de l’Organisateur. Le participant a également le droit de porter plainte auprès de l’autorité de contrôle compétente, à savoir la Commission nationale de l’informatique et des libertés (www.cnil.fr).

8. Conduite

Si, pour quelque raison que ce soit, le Concours ne peut être exécuté comme prévu, y compris, mais sans s’y limiter, toute erreur d’impression, d’administration ou autre erreur de quelque nature que ce soit, défaillance de transmission, infection par virus informatique, bogue, falsification, intervention non autorisée, fraude, défaillance technique ou toute autre cause hors du contrôle de l’Organisateur qui altère ou affecte la sécurité, la gestion ou la justice, l’intégrité ou le bon déroulement du Concours, ou si le Concours est compromis ou est techniquement corrompu de quelque façon que ce soit, électroniquement ou autrement, l’Organisateur se réserve le droit, à sa seule discrétion, d’annuler, de modifier ou de mettre fin au Concours et, s’il s’achève avant la date de fin initiale, de choisir les gagnants parmi toutes les participations admissibles non suspectes reçues à la date et l’heure de la résiliation.

9. Indépendance des dispositions

Le défaut d’exercice ou d’application d’un droit ou d’une disposition des présentes Conditions ne constitue pas une renonciation à ce droit ou à cette disposition. une partie des présentes Conditions est jugée invalide ou inapplicable par un tribunal français, cette partie sera appliquée dans toute la mesure permise par la loi, et le reste des présentes Conditions restera pleinement en vigueur.
